This page explains our refund policy and how 409a valuation refreshes work.

If you cancel before your management discussion call has taken place and before any analyst work has begun, [PLACEHOLDER: full refund / no charge].

What is a “refresh”?

A refresh is an updated 409a valuation performed within your standard 12-month safe-harbor window, provided no “material event” has occurred since your last valuation.

What counts as a material event

A material event – such as a new funding round, significant M&A activity, or a major change to your business – ends your current safe-harbor window and requires a new full valuation rather than a refresh, regardless of how much time has passed since your last report.

Examples of a material event include raising a new funding round, priced or otherwise; being acquired, or acquiring another business; a significant expansion or contraction of the business; a major change in ownership or control; issuing a new class of equity; a substantial change to your revenue or business model; and any other event that would materially change what a buyer would pay for your common stock.

“Unlimited refreshes” – what it means

Where referenced elsewhere on the site, such as our comparison table on the 409a valuation page, “unlimited refreshes” means there is no cap on the number of refresh engagements you can request over time, as long as each one qualifies as a refresh under the applicable requirements, including no intervening material event.

It does not mean refreshes are free or automatically included. Please see the “Requesting a refresh” section below for additional information.
